Terms of Service

1. Definitions

"Platform" — Woldy's merchant dashboard, APIs, payment gateway, checkout tools, recurring payment components, smart contracts, and related infrastructure.

"Digital Assets" — stablecoins, cryptocurrencies, tokens, and other blockchain-based assets.

"Merchant Account" — your registered access to the Platform.

"Customer" — an individual or entity initiating a payment to you through Woldy checkout.

"Settlement Vault" — a Merchant-specific, non-custodial smart contract used for receiving Digital Assets.

"Services" — technical tools provided by Woldy, including payment processing infrastructure and recurring payment capabilities.

2. Acceptance of Terms and Changes

By using the Platform, you accept these Terms.

We may update these Terms at any time.

Continued use after updates constitutes acceptance.

3. Eligibility

By using the Platform, you represent that you:

• are at least 18 years old;
• have authority to enter into this Agreement;
• will use the Platform solely for lawful commercial purposes;
• will comply with applicable laws relevant to your operations.

4. Description of Services

Woldy provides:

• a non-custodial crypto payment gateway,
• checkout and API tools,
• settlement smart contracts (Vaults),
• recurring and one-time payment tools,
• payment reporting and analytics.

Woldy is:

• not a custodian,
• not a financial institution,
• not a bank,
• not a money transmitter,
• not an investment advisor.

Woldy cannot access or recover Digital Assets.

5. Non-Custodial Nature & Merchant Responsibility

5.1 Control of Assets

You retain full control over your wallets and private keys.

Woldy does not store, manage, or recover any wallet credentials.

5.2 Irreversible Transactions

All blockchain transactions are final and cannot be reversed by Woldy.

5.3 Your Responsibilities

You are responsible for:

• securing wallets and signing devices,
• ensuring accurate transaction details,
• managing balances and addresses,
• complying with taxation and legal obligations relevant to your business.

6. Customer Payments

6.1 Merchant–Customer Relationship

Woldy is not a party to any transaction between you and your Customers.

You are solely responsible for:

• product or service delivery,
• refunds, cancellations, and disputes,
• billing disclosures and customer support,
• compliance with applicable consumer laws.

6.2 Checkout Data Processing

Woldy may process limited Customer information (wallet address and optional email for receipts) strictly on your behalf.

Woldy does not engage with Customers, market to them, or use their data for profiling.

7. Permit-Based Recurring Payments

Certain Services allow recurring payments using on-chain Permit mechanisms (e.g., EIP-3009, Permit2, similar standards).

7.1 Customer Authorization

Recurring payments occur only when a Customer signs a Permit specifying:

• spending limit,
• token,
• blockchain network.

Woldy does not initiate, modify, or influence Permit signatures.

7.2 Revocation

Customers may revoke a Permit at any time via:

• their wallet,
• smart-contract level cancellation.

After revocation, no recurring payments can be executed.

7.3 Merchant Responsibility

You are solely responsible for:

• initiating recurring charges within the authorized Permit,
• communicating billing terms to Customers,
• managing cancellations, refunds, and subscription disputes.

7.4 No Liability

Woldy is not responsible for:

• failed payments due to revocation or insufficient balance,
• incorrect Permit configuration,
• execution errors on the Merchant side,
• Customer disputes regarding billing.

8. Prohibited Activities

You may not use the Platform to:

• engage in fraudulent, deceptive, or abusive activity,
• interfere with or disrupt the Platform,
• reverse-engineer or exploit Services,
• violate API rate limits,
• attempt unauthorized access to systems or smart contracts.

Woldy may suspend access for violations.

9. Data & Privacy

Woldy processes only minimal data required to operate the Platform, as described in the Privacy Policy.

Woldy does not:

• collect private keys,
• hold Customer funds,
• sell data,
• use Customer data for marketing.

10. Intellectual Property

All code, documentation, branding, and design of the Platform are owned by Woldy or licensed to Woldy.

You may not copy, modify, or create derivative works without written permission.

11. Platform Modifications

Woldy may modify, update, or discontinue any part of the Platform at any time.

We are not liable for any resulting business impact.

12. Assumption of Risk

By using the Platform, you acknowledge that:

• Digital Assets may be volatile;
• smart contracts may contain bugs or vulnerabilities;
• blockchain networks may fail or become congested.

You use Woldy entirely at your own risk.

13. Representations & Warranties

You represent that:

• your business actions comply with applicable laws;
• you have authority to use the Platform;
• your use does not violate any other agreements or obligations.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WOLDY IS NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES;
• WOLDY'S TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE TOTAL FEES PAID TO WOLDY IN THE LAST 12 MONTHS, WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless Woldy and its team from any claims arising out of your:

• use of the Platform,
• violation of these Terms,
• violation of applicable laws.

16. Termination

Woldy may suspend or terminate your access at any time.

Sections dealing with responsibility, liability, and protections survive termination.

17. Miscellaneous

Entire Agreement — These Terms + Privacy Policy.

Severability — Invalid provisions do not affect the rest.

No Waiver — Non-enforcement is not a waiver.

Assignment — You cannot transfer rights without consent.

Electronic Acceptance — Using the Platform = acceptance.
